2. Service Description

NeoGentic provides AI-powered cybersecurity and compliance management solutions through its NeoLytik product line:

• NeoLytik Valkyr: Security Operations Platform with SIEM integration and multi-agent AI architecture
• NeoLytik Tyr: GRC/Compliance Management Platform with AI-powered framework consultation

3. User Eligibility

Our services are intended for business use. By using our services, you represent that:

• You are at least 18 years of age
• You have the authority to bind your organization to these Terms
• Your use of our services complies with all applicable laws and regulations

4. Account Responsibilities

If you create an account with us, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring that your account information is accurate and up-to-date

5. Acceptable Use Policy

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and trademarks, are owned by NeoGentic or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

7. Data Ownership

Your data remains yours. You retain all rights to your security and compliance data. Our NeoLytik platform is designed so that your data never leaves your infrastructure - only query-specific context is transmitted to our AI service.

8. Limitation of Liability

To the maximum extent permitted by law, NeoGentic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless NeoGentic and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any third-party rights

10. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may suspend or discontinue services for maintenance, updates, or other operational reasons.

11. Termination

Either party may terminate the service agreement with written notice as specified in the applicable service contract. Upon termination:

• Your access to the services will be discontinued
• You must cease using any NeoGentic intellectual property
• Your data remains in your infrastructure (per our data sovereignty model)

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from or relating to these Terms shall be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts in Germany.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
